Beta Tester Non-Disclosure Agreement

1. Purpose
You are being given pre-release access to the Authorship Ledger software and related materials (the “Beta”) to evaluate and test it and to provide feedback. This agreement governs the confidential information you receive.
2. Confidential Information
“Confidential Information” means non-public information disclosed to you in connection with the Beta, including the software, its features, designs, and workflows; its technical methods (provenance capture, hash-chaining, validation numbers, signing, time-anchoring, and verification); non-public URLs, credentials, and validation numbers; product plans, roadmap, and pricing; and the existence and nature of your access.
3. Exclusions
Confidential Information excludes information that is or becomes public through no fault of yours, that you already lawfully knew, that you independently develop without using it, or that you lawfully receive from a third party without restriction. If legally compelled to disclose, you may do so with prompt prior notice where lawful.
4. Your obligations
You will hold the Confidential Information in confidence and use it only to evaluate the Beta; not disclose it to third parties without our written consent; protect it with at least reasonable care; not copy, publish, screenshot, or publicly describe the Beta without consent; not reverse engineer, decompile, or probe its source code, keys, or security mechanisms; and promptly notify us of any unauthorized use or disclosure.
5. Feedback
Any feedback you provide is given freely. You grant Agentive Press a perpetual, irrevocable, worldwide, royalty-free right to use it for any purpose without obligation or compensation. Your feedback is not your Confidential Information.
6. No license; ownership
Nothing here grants you any license or ownership in the Beta or any intellectual property; all rights remain with Agentive Press. Access is provided at our discretion and may be suspended or revoked at any time.
7. No warranty
The Beta is pre-release and provided “AS IS”, without warranties of any kind. It is documentation tooling, not legal advice, and we make no representation that it is error-free or fit for any particular purpose. You use it at your own risk.
8. Term and survival
This agreement begins on acceptance and continues while you have access to the Beta. Your confidentiality obligations survive for three (3) years after the relevant disclosure, or until the information ceases to be confidential, whichever is longer.
9. Return or destruction
On our request or when your access ends, you will stop using the Confidential Information and return or destroy it and any copies.
10. Remedies
You acknowledge that unauthorized disclosure may cause irreparable harm for which money damages are inadequate, and that Agentive Press may seek injunctive relief in addition to other remedies.
11. Electronic acceptance
By checking the acceptance box and creating an account, you agree to this NDA. You agree that this electronic acceptance creates a valid and binding signature with the same effect as a handwritten signature under the U.S. E-SIGN Act and applicable state law (UETA). Your name, email, the agreement version, and the date and time of acceptance are recorded.
